Terms of Service

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Apex Automated Trade Systems software on a single server for your personal, non-commercial trading use.

This license does not permit you to: (a) sublicense, resell, or distribute the software; (b) modify, reverse-engineer, decompile, or disassemble the software or its compiled bytecode; (c) use the software to build a competing product; or (d) share your license key with other users or servers.

Apex Automated Trade Systems is a software automation tool. It is not a financial advisor, broker-dealer, or investment service. Nothing in the Service constitutes investment advice. You are solely responsible for all trading decisions and their outcomes. See our full Risk Disclaimer.

Access to the Service requires a paid subscription. Fees are charged on a monthly or annual basis as selected at checkout. All payments are processed by Stripe. You authorize us to charge your payment method on a recurring basis until you cancel.

Prices may change with 30 days advance notice. Continued use of the Service after a price change constitutes acceptance of the new price.

You may cancel your subscription at any time through the Stripe customer portal. Cancellation takes effect at the end of the current billing period — your server will continue to function until that date.

We do not provide refunds for partial billing periods or for any trading losses incurred while using the software. If you experience a technical issue with the software itself (not trading outcomes), contact us within 7 days of your initial purchase.

Each license key is tied to a single server (identified by machine ID). The software validates your license against our license server approximately every 23 hours. If validation fails — due to cancellation, non-payment, or violation of these Terms — the software will stop running.

You may deactivate and reactivate your license key on a new server using the license management interface. License sharing, key distribution, or automated key rotation across multiple servers is prohibited and will result in immediate termination.

You agree not to use the Service to:

• Violate any applicable law or regulation, including securities laws
• Engage in market manipulation, wash trading, spoofing, or other prohibited trading practices
• Attempt to gain unauthorized access to our license server or infrastructure
• Circumvent license validation or use the software beyond your purchased tier
• Distribute, resell, or offer the software as a managed trading service to third parties

The software, including its compiled bytecode, source code (where provided), documentation, and branding, is the exclusive property of Apex Automated Trade Systems LLC and is protected by copyright and trade secret law. These Terms do not transfer any intellectual property rights to you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Apex Automated Trade Systems LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING TRADING LOSSES, LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM.

We may suspend or terminate your license immediately, without notice, if you breach these Terms, engage in prohibited trading activity, fail to pay applicable fees, or if we determine that continued access poses a risk to our systems or other users.

Upon termination, your license key will be deactivated, the software will cease to run, and you must delete all copies of the software from your servers.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in English.

We may update these Terms at any time. We will provide at least 14 days notice of material changes via email or a notice on this website. Continued use of the Service after the effective date of updated Terms constitutes acceptance.
